Acceptance of Terms

By accessing or using the ProRently platform at prorently.in (the "Platform"), creating an account, initiating or completing an agreement generation, making a payment, or clicking "I Agree," you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" shall include that entity.

If you do not agree to these Terms, do not use the Platform. Continued use of the Platform after any modification to these Terms constitutes your acceptance of the revised Terms.

These Terms constitute a legally binding agreement under the Indian Contract Act, 1872 and the Information Technology Act, 2000 between you and ProRently Technologies Pvt. Ltd.

Definitions

In these Terms, the following words have the meanings set out below:

"ProRently"ProRently Technologies Pvt. Ltd., a company incorporated under the Companies Act, 2013, with its registered office in Bangalore, Karnataka, India.
"Platform"The website at prorently.in, associated mobile applications, and all related services operated by ProRently.
"User"Any person who accesses, registers on, or uses the Platform, including Landlords and Tenants.
"Landlord"A User who uses the Platform to generate, execute, and manage rent agreements as the property owner or authorised agent.
"Tenant"A person who is invited to review and electronically sign a rent agreement via the Platform.
"Agreement"A Leave and License or lease agreement document generated using the Platform.
"e-Stamp"An electronic stamp certificate purchased by the User from an official state portal or authorised agency, with details uploaded to the Platform.
"eSign"An electronic signature executed via Aadhaar OTP authentication through Digio or another licensed eSign Service Provider under the IT Act, 2000.
"Service Fee"The fee charged by ProRently for generating a rent agreement, currently ₹199 per agreement (exclusive of e-Stamp duty and applicable taxes).
"Stamp Duty"State-mandated duty on documents, payable by the User on official state portals or authorised channels.

Description of Service

What ProRently Provides

ProRently provides a technology platform that enables Landlords to:

  • Generate standardised rent agreement templates (Leave and License or lease format) based on user-provided inputs;
  • Provide state-wise stamp duty estimate guidance, official portal links, and e-Stamp certificate upload tracking;
  • Facilitate electronic signatures from both parties via Aadhaar OTP-based eSign through Digio;
  • Deliver the executed, stamped agreement as a PDF to both parties via WhatsApp and email;
  • Send automated rent reminders to tenants via WhatsApp Business (WATI);
  • Provide ancillary tools including notice generation, AI dispute letter drafting, and rent health analytics.

What ProRently Does Not Provide

ProRently does not guarantee that any Agreement generated through the Platform will be enforceable in any particular court or circumstance. ProRently is not responsible for the legal outcome of any tenancy dispute.
  • ProRently does not act as an advocate, law firm, or notary;
  • ProRently does not verify the accuracy of information provided by Users — if you enter an incorrect property address, rent amount, or party name, the resulting Agreement will reflect those errors;
  • ProRently does not provide title verification, tenancy dispute resolution, or eviction assistance;
  • ProRently does not guarantee that a generated Agreement satisfies requirements for all purposes (e.g. bank loan documentation, visa applications, court evidence) without independent legal review.

Service Availability

The Platform is provided on a commercially reasonable efforts basis. ProRently does not guarantee uninterrupted or error-free operation and may perform scheduled or emergency maintenance that temporarily affects availability. ProRently is not liable for any loss caused by unavailability of the Platform.

Not Legal Advice — Important Disclaimer

This section is critical. Please read it carefully. ProRently generates agreement templates. This is fundamentally different from legal advice or legal representation.

No Attorney-Client Relationship. Your use of the Platform does not create an attorney-client relationship between you and ProRently, or between you and any person employed by or associated with ProRently. ProRently employees are not your lawyers.

Templates, Not Legal Opinions. The Agreements generated by the Platform are standardised templates based on commonly accepted formats for the relevant state. They are not tailored to your specific legal situation and do not constitute a legal opinion on the validity, enforceability, or adequacy of the document for your particular circumstances.

Accuracy of State Legal Information. ProRently makes reasonable efforts to keep stamp duty rates, registration requirements, and agreement formats current and accurate. However, state laws change and ProRently cannot guarantee that the information displayed is current at any given moment. All state-specific legal information displayed on the Platform carries a verification date. Verify current rules with the relevant state's Stamp and Registration Department before relying on them.

When to Consult an Advocate. You should seek independent legal advice from a qualified advocate if: the monthly rent exceeds ₹50,000; the property is commercial; the tenancy involves special conditions, fixtures, or shared ownership; you anticipate a dispute; the tenant is a foreign national.

Eligibility

To use the Platform, you must:

  • Be at least 18 years of age;
  • Be legally competent to enter into a contract under the Indian Contract Act, 1872;
  • Have a valid Indian mobile phone number linked to an Aadhaar number (for eSign);
  • Not be barred from using the Platform under any applicable law;
  • Agree to these Terms and our Privacy Policy.

Tenants outside India may use the Platform to review and sign agreements provided they can access the Aadhaar OTP sent to their Aadhaar-linked mobile number.

User Account

Registration. To generate agreements as a Landlord, you must create an account with a verified mobile number. You agree to provide accurate, complete, and current information during registration and to keep your account information updated.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify ProRently immediately at contact@prorently.in if you suspect unauthorised access to your account.

One Account Per Person. Each natural person may maintain only one account. Accounts are non-transferable.

Account Suspension. ProRently reserves the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or are inactive for more than 24 months.

User Responsibilities

Accuracy of Information

You are entirely responsible for the accuracy of all information you enter on the Platform. ProRently generates the Agreement based solely on the details you provide. Errors in party names, property addresses, rent amounts, or dates will be reflected in the generated document. ProRently is not liable for any consequences arising from inaccurate information entered by Users.

Prohibited Uses

You agree not to use the Platform to:

  • Generate agreements for properties you do not own or have no legal authority to rent;
  • Impersonate another person or entity, or misrepresent your identity or affiliation;
  • Generate agreements containing false party names, fictitious properties, or fraudulent rent amounts;
  • Use the Platform to facilitate illegal subletting, benami transactions, or money laundering;
  • Attempt to circumvent or manipulate the e-Stamp or eSign process;
  • Reverse-engineer, copy, or replicate the Platform's document templates or technology;
  • Use automated scripts, bots, or scraping tools to access the Platform;
  • Harass or coerce a tenant into signing an agreement through the Platform.

Tenant Consent

By sending a signing request to a tenant, you represent that: (a) the tenant has agreed to review and sign the agreement; (b) the property details and financial terms reflected in the agreement are accurate and have been disclosed to the tenant; and (c) you are not using the Platform to obtain a signature under duress, misrepresentation, or coercion.

Payments & Refunds

Service Fee

The current Service Fee for generating a single rent agreement is ₹199 + applicable GST. This fee is charged at the time of payment. Prices are subject to change; the fee applicable at the time of your payment is the fee you will be charged.

e-Stamp and Stamp Duty

In addition to the Service Fee, applicable stamp duty is paid by you directly on official state portals or authorised channels. ProRently provides estimate guidance and portal links; final payable values must be verified by you on the official portal.

Stamp Duty is a government levy, not a ProRently fee. ProRently does not collect or remit stamp duty in this MVP model. You are responsible for paying the correct amount on the official portal before execution.

Refund Policy

Service Fee (₹199): Once the agreement has been generated, the Service Fee is non-refundable. If agreement generation fails due to a Platform error before document creation, a full refund of the Service Fee will be processed within 7 business days.

e-Stamp (Stamp Duty): Stamp duty is paid by you on official state portals or authorised channels. Any cancellation or refund of stamp duty is governed by that portal/authority's policy and applicable state law.

Pro Plan (₹999/year): The annual subscription is non-refundable after the 7-day cooling-off period from the date of purchase. Within 7 days of purchase, a full refund may be requested by writing to billing@prorently.in, provided no agreements have been generated under the plan.

Payment Processing

Payments are processed by Razorpay Software Pvt. Ltd. ProRently does not store card or bank account details. In the event of a payment dispute, contact billing@prorently.in within 30 days of the transaction date.

Taxes

GST at 18% is applicable on the Service Fee. This is included in the total displayed at checkout. Your GST invoice will be made available in your account within 24 hours of payment.

e-Stamp Guidance & Upload

ProRently provides estimate guidance, official portal links, and upload tracking for e-Stamp certificate details. By using this flow, you:

  • Acknowledge that displayed stamp amounts are guidance estimates unless explicitly marked portal-final;
  • Confirm that you have verified and paid the final stamp duty amount on the official portal before execution;
  • Agree to upload accurate certificate details (number/amount/PDF) for audit and traceability.
⚠️
Stamp duty is your legal obligation. Under the Indian Stamp Act, stamp duty payable on a document is the legal obligation of the executing parties. ProRently does not validate ownership or guarantee your payable amount. If duty is insufficient due to incorrect inputs or portal payment errors, any deficiency or penalty remains your responsibility.

e-Stamp rates displayed on the Platform are verified periodically but may not reflect same-day changes by state governments. The date of last verification is displayed alongside all stamp duty figures.

Aadhaar eSign

ProRently facilitates Aadhaar-based electronic signatures ("eSign") through Digio, a licensed eSign Service Provider empanelled with the Controller of Certifying Authorities (CCA) under the Information Technology Act, 2000.

Legal Validity

Aadhaar eSign is legally valid under Indian law. Electronic signatures authenticated via Aadhaar OTP are recognised under Section 5 of the Information Technology Act, 2000 and the IT (Certifying Authorities) Rules, 2000. They are legally equivalent to wet-ink signatures for the purposes of executing rent agreements.

Aadhaar Data

ProRently does not collect, process, or store your Aadhaar number or biometric data. The Aadhaar OTP verification is handled entirely by Digio and UIDAI's authentication infrastructure. ProRently receives only a signed document and a transaction audit log from Digio confirming successful authentication. See our Privacy Policy for full details.

Your Consent to eSign

By entering your Aadhaar OTP and completing the eSign process, you represent that:

  • You are the person named in the document and the Aadhaar number used belongs to you;
  • You have read and understood the agreement you are signing;
  • You are signing voluntarily and without coercion;
  • You understand that an electronically signed agreement is legally binding.

eSign Failure or OTP Issues

ProRently is not responsible for eSign failures caused by UIDAI server downtime, OTP delivery failures due to mobile network issues, or an Aadhaar number not being linked to an active mobile number. In such cases, contact us at contact@prorently.in for alternative signing options.

Third-Party Services

The Platform integrates with the following third-party services. By using the Platform, you acknowledge that your use of these services is subject to their respective terms and policies:

DigioeSign service provider. Handles Aadhaar OTP authentication and digital signature execution. Subject to Digio's terms and UIDAI's authentication policies.
SHCIL / State IGR PortalsOfficial channels used by Users to purchase e-Stamp certificates and verify state charges. Subject to the respective portal's policies and state legislation.
RazorpayPayment gateway for collecting ProRently Service Fees. Subject to Razorpay's Terms of Service and Privacy Policy.
WATIWhatsApp Business API provider. Used to send rent reminders, agreement signing requests, and notifications. Subject to WATI's terms and Meta's WhatsApp Business Policy.

ProRently is not responsible for the availability, accuracy, or conduct of these third-party services. Any disputes arising from third-party service failures should be directed to the relevant provider, though ProRently will make reasonable efforts to assist.

Intellectual Property

The Platform, including its software, design, templates, interface, and content (excluding User-provided data), is the intellectual property of ProRently and is protected under the Copyright Act, 1957 and applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your personal rent management purposes. You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Platform without ProRently's written consent.

Your data. You retain ownership of all data you input into the Platform (party names, property details, financial terms). By submitting this data, you grant ProRently a limited licence to use it solely to provide the Services to you. ProRently does not sell your data or use it for advertising purposes.

Generated Documents. The Agreement PDF generated using your inputs belongs to you and your tenant, and is yours to use, store, and rely upon as evidence of your tenancy. ProRently retains a copy for audit and support purposes as described in the Privacy Policy.

Disclaimer of Warranties

To the maximum extent permitted by applicable law:

  • The Platform is provided "as is" and "as available" without any warranties of any kind, express or implied;
  • ProRently does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses;
  • ProRently does not warrant that any Agreement generated through the Platform will be enforceable, legally sufficient, or suitable for your specific purpose;
  • ProRently does not warrant the accuracy, completeness, or currency of any legal information displayed on the Platform, including stamp duty rates and registration requirements;
  • ProRently does not warrant that the eSign process will be accepted as valid evidence in all Indian courts in all circumstances — though it is designed to comply with IT Act 2000 standards.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, ProRently's total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed:

For a single-agreement user, this means a maximum of ₹199 (the Service Fee). For a Pro Plan subscriber, a maximum of ₹999 per year. Stamp duty paid directly by users on official portals is excluded.

ProRently shall not be liable, under any circumstances, for:

  • Any indirect, incidental, consequential, special, exemplary, or punitive damages;
  • Loss of rental income, profits, business, goodwill, or savings;
  • Any damages arising from a tenancy dispute, eviction proceeding, or court action, even if ProRently was advised of the possibility of such damages;
  • Errors or omissions in the Agreement caused by inaccurate information provided by the User;
  • Failure of a third-party service (Digio, SHCIL, Razorpay, WATI, UIDAI);
  • Any penalty, fine, or proceeding arising from insufficient stamp duty where the User provided incorrect transaction details.
⚠️
Some Indian consumer protection laws may impose minimum liability standards that cannot be excluded by contract. Nothing in this section is intended to exclude liability for fraud, wilful misconduct, or death or personal injury caused by ProRently's negligence, to the extent that such liability cannot be excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless ProRently, its directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the Platform or breach of these Terms;
  • Any inaccurate or false information you provided when generating an Agreement;
  • Any Agreement you generated being challenged, disputed, or found unenforceable;
  • Your violation of any applicable law, including the Indian Stamp Act, Aadhaar Act, Rent Control Acts, or DPDPA;
  • Any claim by a third party (including a tenant, sub-tenant, or court) arising from an Agreement you generated using the Platform;
  • Your coercion or misrepresentation to a tenant in connection with a signing request sent through the Platform.

Termination

By You. You may terminate your account at any time by contacting us at contact@prorently.in. Upon termination, your access to the Platform will cease. Previously generated Agreement PDFs stored in your account will remain accessible for 90 days after termination, after which they may be deleted.

By ProRently. ProRently may suspend or terminate your account immediately and without notice if you: breach these Terms; provide false information; engage in fraudulent activity; or use the Platform in a manner that causes harm to other users, third parties, or ProRently.

Effect of Termination. Termination does not release you from any obligations or liabilities that arose prior to termination. Sections 4, 7, 12, 13, 14, 15, and 17 survive termination.

Governing Law & Dispute Resolution

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws provisions.

Mandatory Pre-Litigation Step

Before initiating any formal dispute, you agree to contact ProRently at legal@prorently.in and allow 30 days for ProRently to attempt resolution in good faith.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform that cannot be resolved through negotiation shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or failing agreement, appointed in accordance with the Act. The seat and venue of arbitration shall be Bangalore, Karnataka. The language of arbitration shall be English.

Jurisdiction

Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the courts located in Bangalore, Karnataka for any matters not subject to arbitration (including interim relief).

Consumer Forum

Nothing in this section prevents a consumer (as defined under the Consumer Protection Act, 2019) from filing a complaint before the appropriate Consumer Disputes Redressal Commission.

Changes to Terms

ProRently reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top of this page;
  • Send a notification to your registered email address or WhatsApp number at least 14 days before the changes take effect;
  • Display a banner on the Platform for 30 days following the change.

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and may request account deletion.

Under the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, ProRently has appointed a Grievance Officer to address complaints from Users. The Grievance Officer can be reached at grievance@prorently.in and will acknowledge your complaint within 24 hours and resolve it within 30 days.
